These Terms of Service ("Terms") govern your access to and use of the Dashlyft website at https://www.dashlyft.com and the Dashlyft web application and all related services (collectively, "the Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1. About Dashlyft

Dashlyft is an AI-powered conversational data analytics platform that enables businesses to query, analyze, and derive insights from their business data using natural language.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of a business, that business also agrees to these Terms.

3. Accounts and registration

To access certain features of the Service, you must create an account. You may register using your email address or via Single Sign-On (SSO) through supported identity providers such as Google or Microsoft.

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account, whether or not authorized by you
  • Notifying Dashlyft promptly at https://www.dashlyft.com/contact if you suspect unauthorized access or a security breach

Dashlyft reserves the right to suspend or terminate accounts where there is reasonable suspicion of unauthorized access, Terms violation, or fraudulent activity.

4. Subscriptions and payment

4.1 Plans

Dashlyft offers subscription-based access to the Service. Available plans and their respective features and pricing are described on our pricing page at https://www.dashlyft.com/pricing. We reserve the right to introduce, modify, or discontinue plans at our discretion.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. By subscribing, you authorize Dashlyft to charge your designated payment method for the applicable fees.

4.3 Price changes

Dashlyft reserves the right to change subscription pricing. We will provide at least 30 days' advance notice of any price changes via email or in-app notification. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

4.4 Refunds

All subscription fees are non-refundable except where explicitly required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period, after which your account will be downgraded or deactivated.

4.5 Taxes

You are responsible for any applicable taxes, levies, or duties imposed by your local jurisdiction in connection with your use of the Service.

4.6 Failed payments

If a payment fails, Dashlyft will notify you and may suspend access to the Service until payment is successfully processed. Repeated payment failures may result in account termination.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, process, or query data that you do not have the legal right to access or use
  • Attempt to reverse engineer, decompile, disassemble, or extract source code from any part of the Service
  • Use the Service to transmit malicious code, viruses, spam, or any unlawful or harmful content
  • Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts
  • Use automated tools, bots, or scrapers to access or extract data from the Service without Dashlyft's prior written consent
  • Resell, sublicense, or otherwise commercialize access to the Service without written authorization from Dashlyft
  • Use the Service in any manner that could disable, overburden, damage, or impair its performance
  • Use the Service to violate any applicable local, national, or international law or regulation
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

Dashlyft reserves the right to investigate and take appropriate action against anyone who, in Dashlyft's sole discretion, violates this provision, including suspending or terminating their account.

6. Data you upload

6.1 Ownership

You retain full ownership of all data you upload to or connect with Dashlyft, including files, spreadsheets, databases, and data accessed via third-party integrations. Dashlyft does not claim any ownership rights over your data.

6.2 License to process

By uploading or connecting data to the Service, you grant Dashlyft a limited, non-exclusive, non-transferable license to store, process, and analyze that data solely for the purpose of providing and improving the Service to you. This license terminates upon account deletion or data removal.

6.3 Data responsibility

You are solely responsible for ensuring that any data you upload or connect to Dashlyft complies with applicable laws and does not infringe the rights of any third party. Dashlyft is not responsible for the accuracy, completeness, or legality of data you provide.

6.4 No training on your data

Dashlyft does not use your business data to train AI or machine learning models. Your data is processed solely to deliver analytics and insights to you.

7. Third-party platform integrations

The Service allows you to connect third-party platforms and data sources, such as e-commerce platforms, marketplaces, delivery platforms, and other business tools, to Dashlyft for analytics purposes.

By connecting a third-party platform, you:

  • Authorize Dashlyft to access the relevant data from that platform on your behalf, solely to provide the analytics services described herein
  • Confirm that you have the necessary rights and permissions to share that platform's data with Dashlyft
  • Acknowledge that Dashlyft's access is limited to the scopes and permissions you approve during the connection process

You remain the data controller for all data sourced from connected platforms. Dashlyft acts solely as a data processor with respect to such data and will handle it in accordance with our Privacy Policy.

Upon disconnection of a platform integration or termination of your account, Dashlyft will immediately revoke access to that platform and will permanently delete all associated data within 30 days.

Dashlyft is not responsible for the availability, accuracy, or completeness of data provided by third-party platforms, nor for any disruptions caused by changes to those platforms' APIs or policies.

8. WhatsApp and messaging integration

If you choose to enable WhatsApp-based analytics delivery, you consent to receiving messages from Dashlyft on the phone number you provide. This feature is entirely optional and requires your explicit opt-in.

You may opt out of WhatsApp messaging at any time through your account settings or by contacting us at https://www.dashlyft.com/contact. Dashlyft is not responsible for any charges applied by your mobile carrier in connection with receiving messages.

Dashlyft will only use your phone number for the purpose of delivering analytics reports, alerts, and notifications that you have requested. Your phone number will not be used for unsolicited marketing communications.

9. AI-powered features

The Service uses artificial intelligence and large language models to process your natural language queries and generate analytical insights. You acknowledge that:

  • AI-generated responses are provided for informational purposes and may not always be accurate or complete
  • You are responsible for independently verifying any insights or decisions derived from the Service before acting on them
  • Dashlyft does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output
  • Your queries are processed by Dashlyft's AI infrastructure, which may involve third-party AI service providers as disclosed in our Privacy Policy

10. Service availability and maintenance

Dashlyft will use commercially reasonable efforts to make the Service available at all times. However, we do not guarantee uninterrupted, error-free, or secure access to the Service.

We may perform scheduled or emergency maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned downtime via email or in-app notification. Dashlyft shall not be liable for any losses or damages arising from service interruptions, whether planned or unplanned.

11. Intellectual property

All intellectual property in the Service, including but not limited to software, algorithms, design, user interface, trademarks, logos, and content, is owned by or licensed to Dashlyft and is protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription period, solely for your internal business purposes. No other rights are granted. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology.

Any feedback, suggestions, or ideas you provide to Dashlyft regarding the Service may be used by Dashlyft without restriction or compensation to you.

12. Confidentiality

Each party agrees to keep the other party's confidential information strictly private and not to disclose it to any third party without prior written consent, except as required by applicable law or legal process. Each party agrees to use the other's confidential information solely for the purposes of performing its obligations or exercising its rights under these Terms.

This obligation of confidentiality survives termination of these Terms.

13. Privacy

Your use of the Service is subject to Dashlyft's Privacy Policy, available at https://www.dashlyft.com/privacy-policy. By using the Service, you consent to the collection, use, and processing of your information as described in the Privacy Policy.

14. Limitation of liability

To the maximum extent permitted by applicable law, Dashlyft and its officers, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising from or related to your use of or inability to use the Service, even if Dashlyft has been advised of the possibility of such damages.

Dashlyft's total aggregate liability to you for any and all claims arising under or related to these Terms shall not exceed the total fees paid by you to Dashlyft in the three calendar months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law, including liability for fraud or willful misconduct.

15. Indemnification

You agree to indemnify, defend, and hold harmless Dashlyft and its officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any data you upload, connect, or process through the Service

16. Termination

16.1 By you

You may cancel your subscription and delete your account at any time through your account settings or by contacting us at https://www.dashlyft.com/contact. Upon cancellation, you will retain access to the Service until the end of your current billing period.

16.2 By Dashlyft

Dashlyft may suspend or terminate your access to the Service immediately and without prior notice if you breach these Terms, if we are required to do so by law, or if we reasonably believe your use of the Service poses a risk to other users, third parties, or Dashlyft.

16.3 Effect of termination

Upon termination for any reason, your right to access and use the Service ceases immediately. Your data will be retained for 30 days following termination, after which it will be permanently deleted from our systems. You are responsible for exporting any data you wish to retain prior to account termination.

17. Changes to these terms

Dashlyft reserves the right to modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice to registered users via email or in-app notification before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.

If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the changes take effect.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

19. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dashlyft with respect to the Service and supersede all prior agreements, representations, and understandings between the parties relating to the subject matter herein.

20. Governing law and dispute resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms or the Service shall be resolved through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation, the parties agree to submit to mediation before pursuing any other legal remedy.
